Contract guide

Which agreement does a freelancer need?

Three documents cover most freelance work: an NDA before you share details, a contract that sets the deal, and a statement of work for each new project.

Updated 7 min read

A contract template is an agreement written in advance, with blanks for your details. These go a step further: you fill one in a question at a time, sign it online and send the other side a link to sign on their own page, for free and without an account.

What each agreement is for

An NDA protects information before a deal, a freelance contract sets the deal itself, and a statement of work adds each later project to it.

How the three fit together

Over one client relationship you'd sign them in this order: an NDA if the client shares something before the deal, the freelance contract when you agree the first project, and a statement of work for each project after that.

  1. Before the deal: the NDA: The client wants to show you their plans before anything is agreed. You send a mutual NDA, and both of you sign.
  2. The first project: the contract: You agree the scope, the fee, the payment period and who owns the work. The freelance contract holds all of it, with the first statement of work built in.
  3. The next project: a statement of work: The client wants more. A one-page statement of work adds the new project under the same contract.
  4. After each project: the invoice: The same fee and payment period go on the invoice, so there's nothing to argue about later.

How to make a contract online in four steps

Choose the agreement, answer its questions, sign it and share the link: the other side reads and signs on their own page, and both of you can download the PDF with both signatures.

  1. Choose the agreement: An NDA, a freelance contract or a statement of work, on the first step.
  2. Answer the questions: One at a time. The agreement on the right fills in as you go, and a click on any part of it opens its question.
  3. Sign it: Draw your signature or type your name.
  4. Share the link: The other side signs on their own page and emails the signed link back to you.
The contract generator's first step: a choice of NDA, service agreement or statement of work on the left, and the service agreement template on the right, waiting to be filled in.
The first step. Choose an agreement, or fill it with an example to see one complete.

What you get, for free

All three agreements are free to make, sign and download, with no account, and each comes with the following.

  • Standard terms written by lawyers: Each agreement is a cover page on Common Paper's standard terms, written by a committee of lawyers and free for anyone to use.
  • Signatures from both sides: You sign here; the other side signs on their own page, from a link.
  • PDF and Word: A PDF to send and keep, and a Word file to edit every word of.
  • Your agreements, kept: My contracts lists every agreement you make, in this browser, with where each stands: draft, sent or signed.
  • Your details carried over: Your name, email and address come along to the next agreement.
  • The law you choose: Any country, and the state or province where it has laws of its own.

Contract template or contract generator?

A contract template is a document with blanks to fill in; a generator asks for each blank in turn and writes your answers into the right places, so nothing is left empty.

One contract for every kind of freelance work

Designers, writers, developers, photographers and consultants can all use the same freelance contract: what changes from one trade to the next is the work and its deliverables, which you describe in your own words.

Write the services as the client would describe them, list each deliverable on its own line, and set the revisions to what your price assumes. A photographer might list the shoot and the edited images; a developer, the features and the handover; a consultant, the sessions and the report.

Edit it in Word or Google Docs

Download any of the three as a Word file and it opens in Word, Google Docs and Pages, ready for you to change any clause; the PDF is the version to send and keep.

The Word file carries no signatures, since an edited agreement needs signing again. To sign online, sign it here and share the link.

Why these are built on standard terms

Standard terms written by lawyers, and the same for everyone who uses them, are easier for a client to accept than terms written from scratch.

Each agreement is a cover page joined to Common Paper's standard terms. The cover page holds what's specific to your deal; the standard terms hold the rest, so a client's legal team has often seen them before and has less to read.

What these templates don't do

They don't replace a lawyer for an unusual or large deal, they don't file or register anything, and they leave out a non-compete: if a client asks for one, agree it and add it in the Word file. A late fee and a kill fee are in the service agreement, as choices on the step after the payment.

After it's signed

Invoice with the same details the agreement uses: the same client, the same fee, the same payment period. If you don't have a company, you can invoice without one: Ruul issues the invoice to your client and pays you out once they pay.

Questions about contract templates

Are these contract templates free?

Yes. Making, signing, sharing and downloading all three agreements is free, and none of it needs an account.

Which agreement do I need first?

An NDA if the client wants to share something private before anything is agreed; otherwise the freelance contract, before the work starts. Each later project with the same client then gets a statement of work.

Do I need a different contract for each kind of work?

No. The freelance contract works for design, writing, development, photography or consulting: you describe the work and list its deliverables in your own words, and the terms that matter, the fee, the payment period and who owns the work, stay the same.

What's the difference between a contract and an agreement?

In business use, little: once both sides sign it, an agreement is a contract. Agreement is simply the more common word in titles, as in service agreement or non-disclosure agreement.

Can I write a contract myself?

Yes. Two people or businesses can write and sign a contract without a lawyer. A template saves you the drafting: its terms have been written by lawyers already, so you only fill in your deal.

Can I print the agreement?

Yes. Download the PDF and print it; anything you've left empty prints as a line to fill in by hand.

Can I make a contract without a company?

Yes. You can sign as an individual, under your own name. When the work is done, Ruul can also invoice your client for it without a company of your own.

Can the contract include a late fee or a kill fee?

Yes, the service agreement can: a late fee of 1%, 1.5% or 2% a month on an unpaid invoice, and a kill fee of 25% or 50% of the fees left if the client cancels. Choose them on the step after the payment.

How do I sign the agreement online?

You sign first, on the last step: draw your signature or type your name. Then share the link. The other side reads the agreement on their own page, adds the details you left for them, signs and emails the signed link back to you. Either of you can download the PDF with both signatures.

Can I edit the agreement in Word or Google Docs?

Yes. Download it as a Word file and change any part of it in Word, Google Docs or Pages. The Word file comes without signatures: to sign the agreement online, sign it here and share the link.

Is the signed agreement stored anywhere?

Not on a server. The agreement and the signatures travel in the link itself. Your agreements also stay in My contracts, in this browser only, and clearing your browsing data deletes them. Download the signed PDF and keep it with the signed link.

Which country's law should the agreement use?

Usually the law where one of you is based, and the courts of that place. If you and the client are in different countries, agree on one before you sign: a dispute is far easier when the agreement already says where it goes.

Is this legal advice?

No. The generator gives you a solid starting point on standard terms written by lawyers, but it doesn't know your situation. For anything unusual, or a large project, have a lawyer where you or your client are based read it first.
